Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 20, 2006, the Board of Directors of AK Steel Holding Corporation and AK Steel Corporation expanded the number of authorized directors from 8 to 9 and elected William K. Gerber to be a director of the Company, effective January 1, 2007. Mr. Gerber is the Executive Vice President and Chief Financial Officer of Kelly Services, Inc., a Fortune 500 company with headquarters in Troy, Michigan. Also on October 20, 2006, AK Steel Corporation issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated by reference herein, announcing Mr. Gerber’s election. Mr. Gerber has not yet been appointed to any committee of the Board of Directors and the Board is in the process of determining whether Mr. Gerber is a party to any related person transactions. Mr. Gerber will be compensated in accordance with the Company’s standard compensation policies and practices for its Board of Directors as follows: annual retainer of $90,000, one half to be paid in the form of restricted common stock of the Company valued at the fair market price on the date of issuance and the balance in cash (or, at the director’s option, in additional restricted stock) and $2,000 for each Board and each committee meeting attended.
