Santiago, Chile. September 4, 2015.- Sociedad Química y Minera de Chile S.A. (SQM or the “Company”) (NYSE: SQM; Santiago Stock Exchange: SQM-B, SQM-A) today filed the following Essential Fact with the Chilean Superintendency of Securities and Insurance (Superintendencia de Valores y Seguros or “SVS”):

 

Sociedad de Inversiones Pampa Calichera S.A. (“SIPCSA”), a shareholder that owns more than 10% of SQM’s issued shares with voting rights, has asked SQM to call for an Extraordinary Shareholders’ Meeting in order to evaluate and vote on “…the payment to all shareholders of a dividend to be charged to SQM’s retained earnings from previous periods (“dividendo eventual”), in the amount of US$280 million or any other amount to be freely determined by shareholders at the aforementioned Extraordinary Shareholders’ Meeting… [and in order for such dividend to subsequently be paid and distributed] within the period of 20 calendar days after the Extraordinary Shareholders’ Meeting.”.

 

The Board of Directors of SQM considered the request of SIPCSA at an Extraordinary Board Meeting held today and, in accordance with Article 58 of Law No. 18,046 and Article 101 of the corresponding regulations, the Board agreed to call for such Extraordinary Meeting of the Shareholders of SQM to be held on Friday, October 2 of this year.
