Item 1.01 Entry into a Material Definitive Agreement.

 

On February 6, 2012, Measurement Specialties (Chengdu) Ltd., a subsidiary of Measurement Specialties, Inc. (the “Company”), entered into a Land Use Contract with the local government of Shuangliu, Chengdu City, Sichuan Province, Peoples Republic of China for the right to use certain land in Chengdu, China for 50 year. The Land Use Contract cost was RMB 3.2 million or approximately $500,000 and the land will be used for a new facility. The total cost of the facility is expected to total approximately $8.0 million, excluding value added taxes. The construction is expected to be completed during the next two years. The construction of the new Chengdu facility is dependent on obtaining customary permits and approvals from local authorities.
