Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As reported in Item 5.07 below, the shareholders of U.S. Bancorp (the Company) approved the U.S. Bancorp 2015 Stock Incentive Plan (the 2015 Plan) at the Companys 2015 annual meeting of shareholders, which was held on Tuesday, April 21, 2015 (the Annual Meeting). The 2015 Plan had previously been approved by the Companys Board of Directors, subject to shareholder approval. The 2015 Plan permits the granting of stock options that are not qualified under Section 422 of the Internal Revenue Code of 1986, as amended, stock appreciation rights, restricted stock and restricted stock units, performance awards, dividend equivalents, stock awards not subject to restrictions, and other stock-based awards to any employee, officer, or non-employee director providing services to the Company or any of its affiliates.
A detailed summary of the 2015 Plan appears on pages 28-39 of the Companys Definitive Proxy Statement on Schedule 14A, which was filed with the Securities and Exchange Commission on March 12, 2015 (the Proxy Statement). That summary is incorporated herein by reference. The full text of the 2015 Plan is attached as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
In connection with the adoption of the 2015 Plan, the Compensation and Human Resources Committee of the Companys Board of Directors has approved the following form agreements:
· the form of agreement for awards of restricted stock units to be granted to non-employee directors under the 2015 Plan;
· the form of agreement for awards of performance restricted stock units to be granted to executive officers under the 2015 Plan; and
· the form of agreement for awards of stock options to be granted to executive officers under the 2015 Plan.
Each of the form agreements listed above is filed as an exhibit to this Current Report on Form 8-K and is incorporated herein by reference.
