BitNile Announces Revised Pricing of Public Offering of Shares of 13.00% Series D Cumulative Redeemable Perpetual Preferred Stock

BitNile Holdings, Inc. (NYSE American: NILE), a diversified holding company (“BitNile” or the “Company”), announces today that the pricing of its public offering has been revised so that a total of 144,000 shares of its 13.00% Series D Cumulative Redeemable Perpetual Preferred Stock (the "Series D Preferred Stock") will be offered at a price to the public of $25.00 per share. Gross proceeds from the offering are expected to be approximately $3.6 million, before deducting commissions, non-accountable fees and offering expenses.

The shares of Series D Preferred Stock are expected to start trading on the New York Stock Exchange on or about June 7, 2022, under the symbol "NILE PRD." The offering is expected to close on or about June 3, 2022, subject to the satisfaction of customary closing conditions.

The Company intends to use substantially all the net proceeds from the offering for the purchase of bitcoin miners, with the remainder for general corporate purposes.

Alexander Capital, L.P. is acting as book running manager for the offering.

The Series D Preferred Stock was offered under the Company's shelf registration statement on Form S-3 (File No. 333-260618), which was declared effective by the Securities and Exchange Commission ("SEC") on November 12, 2021.
