  Results of Operations and Financial Condition.
     On August 9, 2006, Westwood One, Inc. (the “Company”) issued a press release announcing earnings for the second quarter ended June 30, 2006. A copy of such press release is furnished herewith as Exhibit 99.1 and is incorporated by reference herein in its entirety.

  Other Events.
     On August 7, 2006, the Company’s Board declared a cash dividend of ten cents ($0.10) per share on issued and outstanding shares of the Company’s common stock and a cash dividend of eight cents ($0.08) per share on issued and outstanding shares of the Company’s Class B stock, such dividends to be paid on September 15, 2006 to stockholders of record at the close of business on August 21, 2006. A copy of the press release announcing the cash dividend on the Company’s common stock is furnished herewith as Exhibit 99.1 and is incorporated by reference herein in its entirety.
