Item 1.01 Entry into a Material Definitive Agreement.

The Company has entered into a new Equipment Purchase Agreement with Sercel, Inc. ("Sercel") relating to Sercel's Unite RAUeX-3 cable-free recording system. Under the terms of the agreement, the Company is the exclusive authorized third party lessor, with certain geographic exceptions, of the RAUeX-3 product through September 30, 2014. The Company has agreed to purchase certain quantities of the product during the term of the agreement.

Concurrently with entering into this agreement, the Company and Sercel entered into an amendment of the Equipment Purchase Agreement dated November 6, 2012 relating to the Unite cable-free recording system. Pursuant to the amendment, the quantities of Sercel's Unite RAU1 product the Company is required to purchase have been modified.
