Item 1.02 Termination of a Material Definitive Agreement.

As of February 23, 2006, the breach of the April 1, 2005 license agreement between the company and Tristar Bioventures International remained uncured by Tristar and the license agreement automatically terminated under its terms. Such breach is further discussed in Footnote 7 to the unaudited condensed financial statements contained in the company's quarterly report on Form 10-Q for the quarterly period ended September 30, 2005 (10-Q) and in the company’s reports on Form 8-K filed on January 9, 2006 and February 9, 2006, which are incorporated herein by reference.

The company did not recognize any revenue from Tristar in 2005, and therefore no bad debt expense would be incurred related to the termination. The company, however, continues to have ongoing discussions with Tristar regarding a resolution.
