Item 8.01 Other Events
On April 24, 2006, Calgon Carbon Corporation completed the sale of the assets of its solvent recovery business to MEGTEC Systems, Inc., a subsidiary of Sequa Corporation. The purchase price of $1.9 million includes cash proceeds of approximately $0.8 million and $1.1 million of retained assets, primarily accounts receivable. Under terms of a separate multi-year contract, Calgon Carbon will continue to supply the activated carbon needs of the divested business. See Exhibit 99.1 Calgon Carbon Corporation News Release dated April 25, 2006 which is incorporated herein by reference.
