On July 13, 2016, the Board of Directors of Sparton Corporation, an Ohio corporation (the Company), approved and adopted a cash retention bonus pool and a form of Retention Bonus Agreement (the Agreement). Under the Agreement, the Company will pay certain executives and key employees, including the Companys Principal Financial Officer and Named Executive Officers, a retention bonus, provided that the recipient remains continuously employed with the Company until the earlier of (a) a Change in Control date (as defined in the Agreement), (b) two days after filing of the Companys Form 10-K for fiscal 2017, or (c) termination other than for Cause (as defined in the Agreement).
This summary of the terms of the Retention Bonus Agreement is not intended to be complete and is qualified in its entirety by reference to the Agreement, which is filed hereto as Exhibit 10.1.
The Company has entered into agreements with the Principal Financial Officer and each of the Named Executive Officers listed below that are substantially identical in all material respects to the form of agreement referenced in Exhibit 10.1 except as to the name of the Named Executive Officer, the title of the officer, and the retention bonus amount:
