Item 5.07 | Submission of Matters to a Vote of Security Holders |
(a) On August 13, 2015, Alliance One International, Inc. (the Company) held its 2015 annual meeting of shareholders (the Annual Meeting).
(b) At the Annual Meeting, the matters submitted to a vote of shareholders, and outcome of the vote, were as follows:
(1) Each of Carl L. Hausmann, Mark W. Kehaya and Martin R. Wade, III was elected as a Class III Director for a three-year term expiring in 2018;
(2) The appointment of Deloitte & Touche LLP as the Companys independent auditors for the fiscal year ending March 31, 2016 was ratified;
(3) A resolution to approve, on an advisory basis, the compensation paid to the Companys named executive officers, was adopted; and
(4) A stock option exchange program under which eligible employees would be able to exchange certain stock options for a lesser number of restricted share units was approved.
The voting results with respect to these matters are set forth in the tables below (note that because the record date for the Annual Meeting was June 12, 2015, the vote totals do not reflect the one-for-ten reverse split of the Companys common stock effected after the close of business on June 26, 2015):
