All Necessary Antitrust Clearances Obtained for Medtronics Proposed Acquisition of Covidien; Both Companies to Seek Shareholder Approvals on January 6
On December 4, Medtronic announced that the proposed acquisition of Covidien has received regulatory clearances from China and South Korea, adding that all necessary antitrust clearances have now been obtained.
The latest clearances came a week after Medtronic and Covidien announced that the U.S. Federal Trade Commission (FTC), European Commission (EC) and Canadian Competition Bureau had conditionally cleared the proposed acquisition.
The FTC, EC and Canadian clearance decisions are conditioned on Medtronics commitment to divest Covidiens drug coated balloon business. As previously announced, a subsidiary of Covidien entered into an agreement to divest Covidiens drug coated balloon business to The Spectranetics Corporation, and the divestiture is expected to close shortly following completion of Medtronics acquisition of Covidien.
Medtronic Chairman and CEO Omar Ishrak said the regulatory clearances represent an important milestone in bringing the two companies together. We continue to make good progress in planning for the integration of these two companies which will unite them under a single mission to alleviate pain, restore health and extend life for patients with chronic disease around the world. When the transaction is complete, the combined company will allow Medtronic to reach more patients, in more ways and in more places, he said.
Both companies have scheduled shareholder meetings for Tuesday, January 6, 2015 to seek shareholder approval of the pending acquisition of Covidien by Medtronic. Following shareholder approval, the scheme of arrangement through which Covidien will be acquired must be sanctioned by the High Court of Ireland, which sanction will be pursued shortly after the shareholder meetings.
The transaction is expected to close in early 2015 after those approvals are received.
