How were these leaders/leadership teams chosen?
Members of the new Executive Committee that will take leadership of the combined organization upon closing of the Covidien acquisition selected their management teams using the following factors: assessing the strategic and organizational requirements of the new company; aligning their structure to support these requirements; and finally, selecting the appropriate talent from either organization to serve as leaders on their teams.
What was the organizational process for making these decisions?
A common talent selection process was used to ensure fairness in decisions and consideration of members from both companies. Factors such as experience, scope of responsibility and job location were part of the selection process.
When will additional organizational decisions be communicated?
Leading up to the closing of the transaction, we may announce some additional organizational structures and leadership teams. These announcements will be made in areas where operational continuity requires that we have a clearly defined organization and leadership structure in place for Day 1 operations. Most final organizational structures and leadership teams, however, will not be named until after closing.
I have heard we are using a best of the best process to select leaders? What is meant by best of the best?
| As we make organizational decisions, our goal is to identify and select the best processes, programs or approaches utilized amongst the two organizations. Both organizations have processes that have served them well and we intend to selectively identify and adopt those proven, best of the best processes for the new, combined company. |
| In regards to talent selection, there will be redundant positions as we bring these organizations together. We will use a thorough, common process that will enable leaders to select the most qualified individual for a given position. This process will include an examination of position needs of the new organization, the track record and performance of the individuals involved, and personal factors such as ability to relocate and personal choice as to whether a person wants to remain with the newly combined company. |

What is the total impact to employees regarding restructuring and job elimination for Medtronic and Covidien employees? When will all the impact be known and communicated? Will there be an all-clear date?
We dont yet know the full impact of eliminations. While this is clearly of period of uncertainty for many, employees should continue on with their current roles and existing responsibilities unless told otherwise. We will continue to share our plans with employees throughout the integration process. Any changes will be made in accordance with any applicable notice, information and consultation requirements.
How should we respond to employee angst over the unknown? Wouldnt it be better to communicate all decisions as quickly as possible?
It is important that organizational decisions minimize disruption and preserve our respective business momentum. Until the closing of the transaction, Medtronic and Covidien will continue to operate in their current form, under their current leadership structures and as two separate companies. We must stay focused on our current plans and objectives.

Leaders should reach out to their HR business partners for additional information. Each integration work stream includes an HR representative who may also be able to provide additional insights into the process and next steps.
