Item 5.07 Submission of Matters to a Vote of Security Holders.
On May 29, 2014, Ameris Bancorp (the Company) held its Annual Meeting of Shareholders (the Annual Meeting) in Moultrie, Georgia. At the Annual Meeting, there were present in person or by proxy 21,289,091 shares of the Companys common stock, representing 84.62% of the total outstanding eligible votes. At the Annual Meeting, the Companys shareholders (1) elected four members to the Board of Directors of the Company, (2) ratified the appointment of Porter Keadle Moore, LLP as the Companys independent auditor for 2014, (3) approved the Companys executive compensation on an advisory basis and (4) approved the Companys 2014 equity compensation plan. Each of the foregoing proposals was set forth and described in the Notice of Annual Meeting and Proxy Statement of the Company dated April 17, 2014. The voting results for each proposal are as follows:
