Item 5.07. Submission of Matters to a Vote of Security Holders

The Company held its 2011 Annual Meeting of Shareholders on May 26, 2011. At the 2011 Annual Meeting, the Company’s shareholders elected three directors and ratified the appointment of KPMG, LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2011.

The proposals acted upon at the 2011 Annual Meeting and the voting results for each proposal were as follows:

Proposal 1: Election of three directors nominated by the Company’s Board of Directors, each to serve for a term expiring in 2014 or until their respective successor has been duly elected and qualified.
