As previously disclosed in a Form 8-K filed by AutoNation, Inc. (the Company) with the U.S. Securities and Exchange Commission on March 12, 2010, Kim C. Goodman informed the Company on March 8, 2010 that she would not stand for re-election to the Companys Board of Directors (the Board) at the Companys 2010 Annual Meeting of Stockholders. The 2010 Annual Meeting was held on May 5, 2010, and Ms. Goodman ceased to be a member of the Companys Board and Audit Committee on such date.

At the Companys 2010 Annual Meeting of Stockholders held on May 5, 2010, the Companys stockholders, upon the recommendation of the Board, (1) elected each of the Boards director nominees, (2) ratified the selection of KPMG LLP as the Companys independent registered public accounting firm for 2010, (3) voted against the stockholder proposal submitted by John Chevedden to have the Board take the steps necessary to amend the Companys by-laws to give holders of 10% of the Companys outstanding shares of common stock the power to call special meetings, and (4) voted against the stockholder proposal submitted by the International Brotherhood of Electrical Workers Pension Benefit Fund to urge the Board to amend the Companys by-laws to require that an independent director be the Companys Chairman of the Board.
