Item 7.01. Regulation FD Disclosure
Pursuant to Regulation FD, Sanchez Energy Corporation (the Company) is hereby furnishing Exhibit 99.2 which contains additional information relating to the Companys operations and anticipated new credit facilities.

Item 8.01 Other Events.
On September 11, 2012, the Company issued a press release announcing that it has commenced a private offering of approximately $100 million of a newly created series of Cumulative Perpetual Convertible Preferred Stock, Series A (the Preferred Stock). In accordance with Rule 135(c) of the Securities Act of 1933, as amended (the Securities Act), a copy of this press release is being filed as Exhibit 99.1 to this report and accordingly, this notice is not intended to and does not constitute an offer to sell nor a solicitation for an offer to purchase any securities of the Company.
The Preferred Stock has not been and will not be registered under the Securities Act or any state securities laws. Therefore, the Preferred Stock may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and any applicable state securities laws.
